1.0 ACCEPTANCE OF TERMS & BINDING AGREEMENT

Welcome to Encity. This document is an electronic record in terms of the Information Technology Act, 2000 (India), the Digital Personal Data Protection Act, 2023 (India), and rules thereunder as applicable, and the amended provisions pertaining to electronic records in various statutes. This electronic record is generated by a computer system and does not require any physical or digital signatures.

By downloading, installing, accessing, or browsing our web portal (https://encity.in/) or our mobile software applications (collectively, the “Platform”), you explicitly agree to be bound by these Terms & Conditions (“Terms”). These Terms constitute a legally binding contractual agreement between you (“User”, whether an End-User seeking services or a registered Service Provider listing business operations) and Minovox Ed Tech Pvt. Ltd. (“Company”, “we”, “us”, or “our”). If you do not agree with any provision within these Terms, you must immediately terminate use of the Platform and uninstall all copies of the mobile application from your devices.

2.0 ELIGIBILITY TO CONTRACT

You represent and warrant that you are at least 18 years of age and possess the legal capacity, authority, and right to enter into this contractual agreement under applicable local laws (including the Indian Contract Act, 1872). If you are registering or operating the Platform on behalf of a corporate entity, business association, or partnership firm, you declare that you possess the requisite explicit legal authorization to bind that corporate entity to these structural Terms.

3.0 ECOSYSTEM OPERATIONS & MARKETPLACE NATURE

Encity operates strictly as a hyper-local search directory, aggregator, and marketplace infrastructure platform. The Platform functions as an intermediary communication conduit that bridges the gap between general consumers (“End-Users”) looking for technical and commercial assistance, and independent local professionals or businesses (“Service Providers”) offering those services.

You explicitly acknowledge and accept that:

  1. Independent Counterparties: Service Providers listed on the Platform are completely independent third-party commercial operators and are not employees, direct agents, legal joint-ventures, or sub-contractors of Minovox Ed Tech Pvt. Ltd.

  2. No Contractual Privity for Services: The contract for the structural provisioning of any local service booked or discovered via the Platform (e.g., electrical repair, plumbing, commercial consulting) is strictly a bilateral contract executed directly between the End-User and the Service Provider. Encity is not a party to that independent operational transaction.

  3. No Quality Guarantees: Encity facilitates discovery but does not definitively verify, assure, or guarantee the exact professional competency, performance quality, safety, timelines, legality, or final results of the tasks executed by independent Service Providers.

3.1 USER DATA SHARING, USER CONSENT, RESPONSIBILITY & PLATFORM DISCLAIMER

Encity is a technology-enabled marketplace and networking platform operated by Minovox Ed Tech Pvt. Ltd. The Platform is designed solely to facilitate communication, discovery, networking, and service transactions between independent users, customers, professionals, businesses, organizations, and service providers. Encity does not employ, control, supervise, endorse, or guarantee any individual or business listed on the Platform.

By registering, creating an account, publishing a listing, submitting an enquiry, or using any feature of the Platform, you voluntarily choose to provide information including, but not limited to, your name, mobile number, email address, profile photograph, address, business details, identity documents (such as Aadhaar Card, PAN Card, Passport, Driving Licence, Voter ID or any other government-issued identification), service information, portfolio, reviews, business documents, payment details (where applicable), and any other information uploaded or submitted by you.

By voluntarily providing such information, you expressly grant Minovox Ed Tech Pvt. Ltd. and the Encity Platform your free, informed, and voluntary consent to collect, store, process, verify, display, publish, and use such information for operating, maintaining, improving, securing, and facilitating the services offered through the Platform.

You further acknowledge and agree that, where reasonably necessary for the functioning of the Platform, your submitted information may be displayed, shared, or made accessible to other registered users, customers, service providers, business partners, verification agencies, payment partners, technology partners, customer support teams, or competent government authorities where required by applicable law. Such sharing shall be limited to legitimate operational purposes, including but not limited to communication, enquiries, bookings, service delivery, identity verification, fraud prevention, customer support, dispute resolution, legal compliance, and improving the Platform’s services.

You understand and acknowledge that any information you voluntarily choose to publish in your profile, listings, advertisements, contact details, reviews, or other publicly visible sections of the Platform may become accessible to other users or visitors. You are solely responsible for deciding what information you choose to make public.

Before contacting, hiring, engaging, paying, or entering into any agreement with another user or Service Provider, every user is solely responsible for independently verifying the identity, qualifications, experience, business credentials, licences, certifications, reputation, legal status, suitability, and authenticity of such person or business. Users must exercise their own independent judgment and due diligence before relying upon any information or entering into any transaction through the Platform.

Encity does not guarantee the identity, honesty, background, behaviour, professional competence, financial status, legal compliance, service quality, pricing, availability, safety, or intentions of any user, customer, or Service Provider. Any profile information, uploaded documents, ratings, reviews, badges, or verification indicators should not be interpreted as a guarantee, certification, endorsement, or warranty by the Company unless expressly stated.

All communications, negotiations, payments, agreements, bookings, services, and commercial transactions conducted through the Platform are strictly between the concerned users. Encity merely provides the digital infrastructure that enables users to discover and connect with one another and is not a party to any contract or agreement entered into between users.

To the fullest extent permitted under applicable law, Minovox Ed Tech Pvt. Ltd., Encity, its promoters, directors, officers, employees, developers, software engineers, designers, consultants, contractors, technology partners, hosting providers, affiliates, licensors, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to:

  1. Any personal information, business information, or identity documents voluntarily shared by a user.

  2. Any unauthorized access, misuse, copying, forwarding, disclosure, or distribution of such information by another user or any third party.

  3. Identity theft, impersonation, fake profiles, fraud, forgery, cybercrime, or misrepresentation by any user.

  4. Financial loss, property damage, personal injury, privacy violations, harassment, criminal acts, service disputes, contractual disagreements, or any other consequences arising from interactions between users.

  5. Any decision taken by a user based upon information, reviews, ratings, advertisements, listings, or communications available on the Platform.

  6. Any loss or damage resulting from a user’s decision to disclose personal or business information through the Platform.

Every user acknowledges that the Platform is used entirely at their own discretion, responsibility, and risk. By continuing to access or use the Platform, you expressly accept full responsibility for your own decisions, communications, interactions, and transactions conducted through the Platform.

Nothing contained in these Terms shall be construed as creating any employer-employee relationship, agency, partnership, franchise, joint venture, fiduciary relationship, or legal representation between Minovox Ed Tech Pvt. Ltd. and any user or Service Provider. The Company’s responsibility is strictly limited to providing and maintaining the technology platform that enables users to connect with one another.

Nothing in this clause shall limit or exclude any responsibility or obligation that cannot lawfully be excluded under applicable law. Where applicable law requires additional consent or imposes mandatory obligations regarding the processing of personal data, the Company shall comply with such legal requirements.

4.0 ACCOUNT CREATION, SECURITY, AND VERIFICATION

4.1 Registration Requirements

To unlock core operational components of the Platform, you must register and maintain a secure personal user profile. You agree to provide fully accurate, current, and genuine information during the onboarding procedure.

4.2 Credential Safeguards

You are uniquely responsible for maintaining the strict confidentiality of your system login credentials (OTP codes, passwords, mobile tokens). Any platform interactions, bookings, or legal listings initiated under your registered account credentials will be deemed to have been executed authoritatively by you. You must inform us immediately at support@encity.in if you suspect an unauthorized security breach of your profile.

4.3 Service Provider Verification

Service Providers acknowledge that the Company reserves the absolute legal right to demand government-issued identity documents (Aadhaar, PAN card), business trade licenses, corporate tax documents (GST details), and physical location coordinates before activating a professional listing. Providing falsified verification criteria constitutes a material breach of this agreement and will result in immediate termination of the profile.

5.0 USER CONDUCT AND PLATFORM INTEGRITY RULES

All users explicitly agree that they will not utilize the Platform to transmit, publish, upload, or circulate content or execute activities that:

  1. Defraud, mislead, or harass other ecosystem participants.

  2. Publish false, unverified, defamatory, malicious, or malicious reviews against any Service Provider or customer.

  3. Utilize automated scrapers, data-mining spiders, or reverse-engineering scripts to copy, harvest, or index proprietary data fields, code blocks, or telephone coordinates from https://encity.in/.

  4. Circulate explicit pornography, hate speech, racially derogatory statements, or threats against national public security.

  5. Engage in deceptive bypass mechanisms, such as deliberately orchestrating off-platform cash transactions with providers originally sourced through the Platform to systematically evade platform facilitation frameworks.

6.0 FEES, FARES, AND PAYMENT INFRASTRUCTURE

  1. Platform Fees: Encity reserves the right to charge subscription fees, marketplace lead-generation fees, convenience costs, or structural commissions from Service Providers or End-Users. Any such applicable structural fees will be clearly displayed before execution.

  2. Payment Processing: Online transactions executed via the Platform are managed securely by PCI-DSS compliant payment gateways (e.g., Razorpay, Stripe). The Company does not handle, store, or view raw banking passwords or credit card credentials.

  3. Taxes: All commercial listings and transactions are subject to applicable regional taxes (including Goods and Services Tax – GST in India). Users and Service Providers are independently responsible for calculating and submitting their respective tax reports to relevant revenue departments.

7.0 INTELLECTUAL PROPERTY RIGHTS

The proprietary software architectures, mobile source code, graphic designs, user interface layouts, trademarked logos, text elements, and branding assets associated with “Encity” are the exclusive intellectual property of Minovox Ed Tech Pvt. Ltd.

You are granted a limited, non-exclusive, non-transferable, revocable personal license to view and utilize the Platform on your personal devices for its intended marketplace utility. You are strictly forbidden from copying, altering, reverse-compiling, distribution, or creating derivative works based upon our technical property without formal written permission from our executive directors.

8.0 LIMITATION OF LIABILITY

To the absolute maximum extent permissible under applicable consumer protection and corporate laws, Minovox Ed Tech Pvt. Ltd., its directors, employees, or tech partners shall not be held legally liable for any direct, indirect, incidental, punitive, or consequential damages resulting from:

  1. Your reliance upon any local service provider profiles, reviews, maps, or contact data populated across the Platform.

  2. Any physical property damage, personal injury, financial loss, or professional negligence resulting from a booking arranged between an End-User and an independent Service Provider.

  3. Platform downtime, technical server crashes, maintenance delivery gaps, or network delivery dropouts.

  4. Unauthorized system access to or alteration of your transactional transmissions by digital malicious actors.

9.0 INDEMNIFICATION CLAUSE

You agree to defend, indemnify, and hold entirely harmless Minovox Ed Tech Pvt. Ltd., its corporate officers, operational directors, employees, and authorized agents from and against any and all civil claims, financial losses, legal costs, court fees, demands, and liabilities arising directly out of:

  1. Your breach of any provision specified in these structural Terms & Conditions.

  2. Your illegal behavior or violation of the statutory rights of any independent third party (including intellectual property or privacy infractions).

  3. Your operational interactions as a Service Provider with external clients, including tax defaults or substandard field results.

10.0 GOVERNING LAW & JURISDICTION

These Terms & Conditions, along with all associated platform relationships, shall be governed by, interpreted, and construed exclusively in accordance with the substantive laws of the Republic of India, without reference to conflict of laws principles.

Any formal legal action, corporate litigation, or judicial dispute arising out of this agreement shall be submitted exclusively to the competent civil courts located in Padrauna, Kushinagar District, Uttar Pradesh, India.

11.0 SEVERABILITY AND WAIVER

If any specific clause or subsection of these Terms is declared unlawful, void, or legally unenforceable by a court of competent jurisdiction, that isolated provision shall be severed from the remainder of the document without undermining the structural validity and enforceability of all remaining clauses. The failure of the Company to enforce any strict right or provision under these Terms shall not be construed as a continuous waiver of such right.

12.0 SYSTEM MODIFICATIONS AND CLOSURE

Minovox Ed Tech Pvt. Ltd. reserves the absolute autonomous right to amend, update, suspend, or terminate parts of these Terms or the entire Platform at any time without advance individual warnings. The updated Terms will immediately supersede all older frameworks upon publication.
